MailSynth is an AI-driven email organization and daily-digest service that integrates with your Gmail account to help you better manage, review, and act on your emails. By signing up for, accessing, or using MailSynth (the "Service"), you agree to be bound by these Terms of Service (the "Terms") and any additional documents referenced herein. If you do not agree to any part of the Terms, do not use the Service.

1. Overview of Service

1.1 Service Description

MailSynth uses third-party artificial intelligence services, including Google Gemini and Anthropic Claude, along with Google Cloud technologies, to provide organized views of your Gmail inbox and produce daily digest summaries. Our platform leverages Google Cloud infrastructure and uses the Gmail API to read, categorize, and summarize emails. The AI-generated content includes email categorization, priority classification, and natural language summaries designed to help you manage your inbox more efficiently.

1.2 Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction if higher) to use MailSynth. If you are under the applicable age of majority, you may only use the Service with the consent of a parent or guardian who agrees to be bound by these Terms.

1.3 Service Limitations

The Service may be subject to certain limitations imposed by Google APIs, such as usage quotas or rate limits. The Service depends on Google platforms and infrastructures; outages or downtime in Google services may impact your use of MailSynth. Additionally, AI model availability, updates, or changes made by third-party AI providers (Google, Anthropic) may affect the Service's functionality. We do not control these third-party services and are not responsible for their unavailability or performance issues.

1.4 Changes to Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that significantly affect your use of the Service. We may also replace or update AI models or processing methods; such changes are considered part of Service updates and do not require your explicit consent, though we will endeavor to notify you of significant changes.

2. Account Registration and Security

2.1 Registration

To use MailSynth, you must sign in with your Google account and grant MailSynth the permissions it needs (e.g., Gmail API scopes). You acknowledge that by granting these permissions, you are authorizing MailSynth to access your Gmail data in accordance with these Terms and our Privacy Policy.

2.2 Account Responsibility

You are responsible for maintaining the confidentiality of any login credentials you use to access MailSynth. You agree to notify us immediately if you suspect any unauthorized use of your account or breach of security. You are responsible for all activities that occur under your account.

2.3 Account Suspension or Termination

We reserve the right to suspend or terminate your MailSynth account if: (a) you violate these Terms or any applicable laws; (b) you engage in illegal activity; (c) you misuse the Service; (d) we determine suspension or termination is necessary to protect the security and integrity of our platform; or (e) you violate the terms of third-party services upon which MailSynth depends (such as Google's API Terms of Service). We will attempt to provide you with notice and an opportunity to remedy violations where reasonably feasible, but reserve the right to terminate accounts immediately in cases of severe violations or threats to platform security.

2.4 Inactive Accounts

Accounts that remain inactive for twelve (12) consecutive months will be automatically deleted, along with all associated data stored by MailSynth. We will make reasonable efforts to notify you via email before deletion. An account is considered "active" if you have signed in or used the Service in any meaningful way during the 12-month period. You may request deletion of your account and data at any time; see Section 4.3 for details.

3. User Conduct and Obligations

3.1 Prohibited Actions

When using MailSynth, you agree not to:

  • Use the Service in violation of any applicable law, regulation, or third-party terms of service

  • Infringe upon or misappropriate third-party intellectual property rights, including trademarks, patents, copyrights, or trade secrets

  • Use the Service to distribute any unlawful, defamatory, harassing, abusive, or otherwise objectionable content

  • Interfere with, disrupt, or attempt to disable the servers, networks, or security measures used by MailSynth

  • Reverse-engineer, decompile, disassemble, modify, create derivative works from, or attempt to derive the source code of the Service

  • Collect, harvest, or use any personally identifiable information (PII) or email content through automated means without authorization

  • Attempt to gain unauthorized access to the Service, other users' accounts, or related systems or networks

3.2 Responsibility for User Content

MailSynth processes email data from your Gmail account in order to organize, categorize, and produce daily summaries. You are solely responsible for the content of your emails and for ensuring that you have the right to allow MailSynth to access and process that content. You agree that you will not use the Service to send or receive emails that violate applicable laws or third-party rights.

4. Use of Data and Privacy

4.1 Data Processing

By using MailSynth, you grant us permission to access and process your Gmail data solely to provide the Service's core features: organizing your inbox, categorizing emails, generating summaries, and providing related functionality. We process data on your behalf and act as a data processor under applicable privacy laws. Your data processing is governed by our Privacy Policy and Google's terms regarding Gmail API use.

4.2 Data Storage and Retention

We use Google Cloud and Firebase infrastructure to store necessary data. We will never store or retain the full text of your emails outside of your Gmail account except when strictly necessary for the Service (e.g., temporarily caching summaries or analysis results). Email metadata (such as sender, recipient, timestamps, and subject lines) may be stored temporarily to support Service functionality but will be minimized and retained only as long as necessary. All data is encrypted both in transit and at rest.

4.3 Data Handling and Commitments

MailSynth commits to the following data protection principles:

  • No Sale or Distribution: We will never sell, rent, lease, share, or otherwise distribute your user data, email content, metadata, or usage patterns for any commercial purpose, marketing purposes, or to third parties, except as required by law.

  • No Training of AI Models: We do not use any user data, including email content, metadata, or usage patterns, to train, fine-tune, improve, or develop any artificial intelligence or machine learning models, whether our own or those of third parties. This is a contractual commitment enforced with all AI model providers.

  • Third-Party AI Provider Contractual Restrictions: Our contracts with AI model providers (including Google and Anthropic) explicitly prohibit the use of user data for model training, improvement, or development purposes. These restrictions are binding and enforced.

  • Data Deletion Upon Cancellation: When you cancel your MailSynth account, we will delete your user data within thirty (30) days, subject to any legal or regulatory retention obligations.

  • Inactive Account Deletion: Accounts inactive for twelve (12) months will be automatically deleted, along with associated data.

  • Right to Data Deletion at Any Time: You may request deletion of your account and all associated data at any time by contacting support@mailsynth.com. We will process deletion requests within thirty (30) days.

4.4 Privacy Policy

Our Privacy Policy describes in detail our collection, use, disclosure, and protection of information. The Privacy Policy is incorporated by reference into these Terms. In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy prevails with respect to privacy and data handling practices.

4.5 Compliance with Google APIs and Services

MailSynth complies with Google's API Services User Data Policy, including the Limited Use requirements. We use Gmail API access only for the purposes disclosed in our Privacy Policy and Terms. We do not use Gmail API scope to access, use, or store user data for purposes other than providing the Service or for purposes to which users have explicitly consented.

5. Artificial Intelligence Disclaimer and Limitations

5.1 AI-Generated Content

MailSynth uses artificial intelligence models, including Google Gemini and Anthropic Claude, to generate email summaries, categorizations, analyses, and other processed content. AI-generated content is provided for informational and organizational convenience only and may contain errors, inaccuracies, incomplete information, or "hallucinations" (false or misleading statements generated by AI models).

5.2 Limitations and Disclaimer

You acknowledge and agree that:

  • AI outputs are not guaranteed to be accurate, complete, reliable, or error-free. MailSynth disclaims all liability for any inaccuracies or errors in AI-generated content.

  • You should always verify critical information, instructions, or claims by consulting the original email messages. Do not rely solely on AI-generated summaries for important business decisions, legal matters, financial decisions, or other critical determinations.

  • MailSynth is not liable for any decisions, actions, or omissions based on AI-generated content. You use AI-generated summaries at your own risk and are solely responsible for verifying their accuracy before acting upon them.

  • AI models are provided and maintained by third-party providers (Google, Anthropic). These models may be updated, replaced, changed, or discontinued by the providers at any time, which may affect the Service's functionality or output quality.

  • AI models may behave unpredictably, produce inconsistent results, or experience degraded performance due to factors beyond our control.

  • Neither MailSynth nor its AI providers (Google, Anthropic) make any warranties regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated content.

5.3 User Responsibility

You assume full responsibility for all actions taken or not taken based on AI-generated content from MailSynth. You should maintain critical thinking and independent judgment when reviewing email summaries and AI-generated categorizations. For any email or matter of significance, always review the original message before making decisions.

6. Intellectual Property

6.1 MailSynth Intellectual Property

All rights, title, and interest in and to the Service, including all software, designs, interfaces, functionality, algorithms, and content developed by MailSynth, are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You do not own or have any rights to the Service except as expressly granted in these Terms.

6.2 User Feedback

Any suggestions, comments, feedback, ideas, improvements, or recommendations you provide regarding MailSynth ("Feedback") may be used by us without restriction, without acknowledgment, without compensation, and without any obligation to you. You hereby grant us a worldwide, royalty-free, perpetual, irrevocable license to use any Feedback for any purpose.

7. Fees and Payment

7.1 Free and Paid Plans

MailSynth may offer both free and paid subscription tiers. Features, quotas, and functionality available in each tier will be disclosed to you before you commit to a subscription.

7.2 Billing and Charges

If you elect to use a paid tier, you will be charged the subscription fee according to the pricing and billing schedule disclosed at the time of purchase. We will bill you on a recurring basis (monthly, annually, or as applicable) unless you cancel your subscription. All fees are exclusive of applicable taxes, which will be added where required by law.

7.3 Refunds

Refund requests will be evaluated on a case-by-case basis in accordance with our Refund Policy. Generally, refund eligibility depends on the timing of your request and the reason for cancellation. Refunds (if applicable) will be issued to the original payment method within thirty (30) days of approval.

8. Third-Party Services

MailSynth uses third-party platforms and services, including Google Cloud, Firebase, the Gmail API, Google Gemini, and Anthropic Claude. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the performance, availability, security, or any issues arising from these third-party services. Google and Anthropic are third-party beneficiaries of this agreement with respect to their services and intellectual property. Changes made by these third parties to their services may impact the availability or functionality of MailSynth.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE ALSO DISCLAIM ANY WARRANTY REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF AI-GENERATED CONTENT.

10. Limitation of Liability

10.1 Exclusion of Indirect Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAILSYNTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL, CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) FIFTY U.S. DOLLARS ($50.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO MAILSYNTH FOR USE OF THE SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, AND THIS LIMITATION MAY NOT APPLY TO YOU.

10.3 Exceptions to Limitations

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. This includes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, breach of statutory duty that cannot be excluded, or any other liability that may not lawfully be excluded or limited by contract.

11. Indemnification

You agree to defend, indemnify, and hold harmless MailSynth, its owners, officers, employees, agents, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable laws or third-party rights; (d) any content you submit or create through the Service; or (e) any actions or omissions arising from your use of AI-generated content from MailSynth. We will provide you with prompt notice of any such claims and cooperate with you in your defense.

12. Modification of the Terms

We may update, modify, or amend these Terms from time to time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of these Terms and notify you by email or by posting a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to any modified Terms, you must discontinue using the Service.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that Delaware law governs these Terms, regardless of any conflict of law principles that might otherwise direct application of another jurisdiction's laws.

13.2 Binding Arbitration

Except as set forth below, you and MailSynth agree that any dispute, claim, or controversy arising out of or related to these Terms, the Service, or your use thereof (collectively, "Disputes") will be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration will be conducted by a single neutral arbitrator in Wilmington, Delaware, and will be conducted in English. You agree to arbitrate on an individual basis only, not as a class action, class arbitration, or any other collective proceeding.

13.3 Exceptions to Arbitration

Notwithstanding Section 13.2, the following Disputes are NOT subject to binding arbitration: (a) claims for injunctive or equitable relief to prevent infringement or misuse of intellectual property; (b) small claims court proceedings if you are an individual and the claim is within the jurisdictional limits of small claims court; and (c) for users in the European Union or European Economic Area, proceedings brought in your local courts to the extent required by mandatory EU or EEA consumer protection laws.

13.4 Dispute Resolution Procedure

Before initiating arbitration, you and MailSynth agree to attempt to resolve the Dispute informally. Either party may initiate an informal resolution process by sending written notice to the other party describing the Dispute, the proposed resolution, and the relief sought. The parties will have thirty (30) days from receipt of notice to resolve the Dispute informally. If the informal resolution is unsuccessful, either party may initiate arbitration.

14. International Users and GDPR Compliance

14.1 EU and EEA Users

If you are located in the European Union, the European Economic Area, or the United Kingdom, you are a consumer under the applicable General Data Protection Regulation (GDPR) and UK Data Protection Act 2018. Additional rights and protections apply to your use of the Service.

14.2 GDPR Rights

If you are a resident of the EU, EEA, or the United Kingdom, under GDPR and local data protection laws, you have the following rights:

  • Right of Access: You have the right to request access to the personal data we process about you.

  • Right to Rectification: You have the right to request that we correct any inaccurate personal data.

  • Right to Erasure ("Right to be Forgotten"): You have the right to request deletion of your personal data, subject to certain exceptions.

To the extent any provision of these Terms conflicts with mandatory consumer protection laws applicable to you (including but not limited to GDPR), those mandatory laws prevail and will apply instead of the conflicting provision. In such cases, the conflicting provision will be modified to the minimum extent necessary to comply with mandatory law.

14.4 Arbitration Clause Carveout

Notwithstanding Section 13.2 (Binding Arbitration), if you are a consumer in a jurisdiction where mandatory consumer protection laws prohibit arbitration clauses or require disputes to be resolved in local courts, the binding arbitration provision does not apply to you. Instead, you may bring legal proceedings in the courts of your local jurisdiction, and these Terms shall be governed by the laws of your jurisdiction (to the extent permitted).

15. Severability

If any provision of these Terms is held to be invalid, illegal, unenforceable, or in violation of applicable law by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, that provision will be severed from these Terms. All other provisions will remain in full force and effect. The invalidity or unenforceability of any provision will not affect the validity or enforceability of any other provision.

16. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and MailSynth regarding your use of the Service. These Terms supersede any prior agreements, understandings, negotiations, or discussions, whether written or oral. There are no other agreements, representations, warranties, or terms other than those expressly set forth herein. No course of dealing, course of performance, trade practice, or usage of trade will be used to modify, amend, or supplement these Terms unless expressly agreed to by both parties in writing.
